Position Summary Arcesium seeks a talented attorney with a n intellectual property and technology transactions background to join its Legal & Compliance team. While the primary focus of this role is on intellectual property and technology transactions, the scope of this position may also extend to general corporate, employment, litigation, and other legal matters as needed. This individual will become part of a small, highly skilled team of lawyers responsible for a wide range of commercial contracts, negotiating on behalf of Arcesium in both customer and vendor relationships , and will be only the second attorney in Arcesium’s U.S. Legal & Compliance group . This role can be based remotely within the United States. Responsibilities
Draft, review, and negotiate customer and vendor agreements
Handle various technology, purchase, service, and consulting agreements
Review RFPs and DDQs (due diligence questionnaires) as primary representative of the Legal team
Serve as the internal point of contact for outside counsel handling NDAs, fielding questions as they arise
Advise business team members within the company on intellectual property matters and other legal issues, including issues related to generative artificial intelligence
Support general corporate, employment, and litigation matters as they arise, reflecting the team’s broader scope of responsibility
Qualifications
A law degree, an impressive record of academic achievement, and at least 3-5 years of experience in-house and/or at a law firm
Experience should include reviewing and negotiating licensing, technology, and other commercial contracts (on behalf of both customer s and vendor ) as well as advising clients on intellectual property issues and contract interpretation more generally
Prior experience with issues relating to open-source software and/or generative artificial intelligence is a plus, but not required
