Role Overview
We’re looking for a Legal Associate (2 to 3 years PQE) to support Sustainiam’s commercial, regulatory, and dispute-related legal work. The role involves independently drafting and negotiating contracts, supporting environmental attribute transactions such as I-REC trades, coordinating arbitration matters and external counsel, and managing corporate compliance.
Key Responsibilities
Commercial Contracts
Independently draft, review, and negotiate NDAs, master services agreements, vendor agreements, SaaS agreements, and service contracts.
Review and redline counterparty agreements, identifying material risks and proposing commercially workable alternatives.
Support sales and procurement discussions, communicating legal positions clearly and constructively.
Environmental Attribute Transactions
Draft and review I-REC trade agreements and related environmental attribute transaction documents, including tripartite transfer arrangements.
Address title, transfer, retirement, registry requirements, and warranties relating to double counting.
Develop a working understanding of relevant market standards and translate transaction structures into clear contractual protections.
Dispute Resolution and External Counsel Management
Support arbitration proceedings under the Arbitration and Conciliation Act, including drafting pleadings, preparing evidence, and coordinating with counsel and tribunals.
Maintain matter trackers, monitor deadlines, and prepare clear briefs for external counsel.
Review legal invoices against agreed scope and fees, seeking clarification or challenging charges where appropriate.
Corporate and Regulatory Compliance
Support Companies Act compliance, statutory filings, board resolutions, and related corporate documentation.
Coordinate POSH compliance, including Internal Committee processes and annual reporting.
Review directors’ and officers’ liability (D&O) and errors and omissions (E&O) insurance policies.
Support privacy and data protection matters, including requirements under the Digital Personal Data Protection Act.
Required Qualifications and Experience
LLB from a recognised institution; BA LLB or BBA LLB preferred.
Enrolment with a Bar Council.
2 to 3 years of post-qualification experience, ideally combining law firm or chambers experience with an in-house role.
